§ 2. Definitions

  1. Customer – a natural person, legal person or organisational unit without legal personality that uses the Store or places an Order.
  2. Consumer – a Customer who is a natural person concluding a contract with the Seller not directly related to their business or professional activity (Article 221 of the Polish Civil Code).
  3. Sole trader with consumer rights – a natural person running a sole proprietorship registered in CEIDG who concludes a contract with the Seller related to that business. Regardless of whether the contract is of a professional nature for that person, the Seller applies to them the provisions of these Terms concerning Consumers, in particular regarding the right of withdrawal and conformity of Goods with the contract (at least to the extent required by Article 38a of the Polish Consumer Rights Act).
  4. Business Customer – a Customer who is neither a Consumer nor a Sole trader with consumer rights (in particular a company, cooperative, foundation, association or institution).
  5. Goods – products presented in the Store, including products with individual branding (print, embroidery, engraving, etc.).
  6. Order – the Customer’s declaration of intent to conclude a sales contract, submitted via the form in the Store or through a Consultant.
  7. Consultant – the Seller’s employee handling Orders and enquiries.
  8. Account – the Customer’s account in the Store.

§ 3. Electronic services and technical requirements

  1. The Seller provides the following electronic services free of charge: access to Store content, contact forms and chat, maintaining an Account, placing Orders and a newsletter (for persons who have given their consent).
  2. To use the Store you need: a device with Internet access, an up-to-date web browser with JavaScript and cookies enabled, and an active e-mail address.
  3. Providing unlawful content, including graphics infringing third-party rights, is prohibited.
  4. The Account agreement is concluded for an indefinite period. The Customer may delete the Account at any time by sending a message to info@euro-brand.pl. The Seller may terminate the Account agreement with 14 days’ notice, or with immediate effect in the event of a gross breach of these Terms.
  5. The newsletter is sent only with consent. You can unsubscribe at any time via the link in each message or by writing to info@euro-brand.pl.
  6. Complaints about electronic services can be sent to info@euro-brand.pl; the Seller responds within 14 days.

§ 4. Prices and offer

  1. Information about Goods presented in the Store constitutes an invitation to conclude a contract (Article 71 of the Polish Civil Code).
  2. Prices are given in Polish zloty and include VAT. Prices do not include delivery costs or – unless stated otherwise – branding costs; the total price including delivery costs is given in the Consultant’s quotation, before the Order is accepted for processing (§ 7(2)).
  3. The minimum order quantity is 20 units of a given product, unless stated otherwise for that product.
  4. Sales in EUR or USD are possible by individual arrangement.
  5. The Seller does not use personalised prices based on automated decision-making.
  6. For each Order the Seller issues an electronic VAT invoice sent to the Customer’s e-mail address. An invoice for a company requires a tax ID (NIP). For intra-Community supplies of goods an active EU VAT number is required.

§ 5. Placing and processing Orders

  1. An Order can be placed:
    • via the Order form in the Store – after adding Goods to the cart, entering your details, choosing delivery and payment methods, accepting these Terms and clicking the button confirming the Order with an obligation to pay;
    • through a Consultant – by e-mail, phone, contact form or chat.
  2. After placing an Order in the Store, the Customer receives an e-mail confirming its receipt. The sales contract is concluded when the Seller sends an e-mail confirming acceptance of the Order for processing (availability of Goods and Order terms).
  3. Orders with individual branding are processed in the following steps:
    1. the Consultant agrees with the Customer the type of Goods, quantity, branding technique and delivery method, and receives the graphic file;
    2. the Consultant sends a quotation with a preview visualisation; the Customer accepts it or submits comments within 7 days;
    3. after accepting the quotation, the Customer receives a pro forma invoice payable within 7 days – failure to pay within this period means the Order is cancelled;
    4. after payment, the Customer receives a production visualisation for approval within 5 business days;
    5. after approval of the production visualisation, the Seller confirms by e-mail the conclusion of the contract and the expected completion date.
  4. Orders with delivery outside Poland are processed through a Consultant, based on individual arrangements.
  5. The Seller may refuse to accept an Order for processing within 2 business days of its placement, in particular if the Goods are unavailable, files or information necessary to complete the Order are missing, there is an obvious pricing error, or the graphics are unlawful. If payment has already been made, the Seller promptly refunds the full amount. At the Customer’s request, the Seller may offer substitute Goods or partial fulfilment.
  6. Lead times shown in the Store are indicative; the binding date is given by the Seller in the Order acceptance confirmation. Unless the parties have agreed otherwise, the Order is completed within 14 days of concluding the contract, and for Orders with individual branding – of approval of the production visualisation.
  7. The Seller may brand goods supplied by the Customer only by individual arrangement; the parties agree on liability for such goods before work begins.

§ 6. Payments

  1. Available payment method: bank transfer based on a pro forma invoice or VAT invoice to the account indicated in § 1. The Seller may make other payment methods available in the Store – the current list is shown when placing an Order.
  2. The payment term is 7 days from receipt of the pro forma invoice, unless agreed otherwise. The Seller may grant Business Customers deferred payment terms.

§ 7. Delivery

  1. Goods are delivered only by courier companies (including DPD, DHL, TNT, UPS) on business days. The Seller does not offer personal pickup.
  2. The delivery cost depends on the size, weight and destination of the shipment and cannot be calculated in advance in the Store – when placing an Order in the Store, delivery is shown as “Courier (shipping cost will be quoted by our consultant)”. The Seller provides the delivery cost in the quotation or by e-mail before accepting the Order for processing. If the Customer does not accept the delivery cost, they may cancel the Order without incurring any costs.
  3. Please inspect the shipment upon receipt and, if it is damaged, draw up a damage report with the courier; this will make it easier to handle a complaint. For Consumers, the absence of a report does not affect the right to complain.
  4. For Consumers, the risk of accidental loss of or damage to the Goods passes to the Consumer when the Goods are delivered to them. For Business Customers – when the Goods are handed over to the carrier.

§ 8. Right of withdrawal (Consumers and Sole traders with consumer rights)

  1. A Consumer may withdraw from a distance contract without giving any reason within 14 days of taking possession of the Goods (for several Goods delivered separately – of taking possession of the last of them).
  2. To withdraw, it is enough to send a statement before the deadline to info@euro-brand.pl or in writing to the registered office address. You may use the model form in Annex 1, but it is not obligatory. The Seller will promptly confirm receipt of the statement.
  3. The Seller refunds all payments received, including delivery costs (except for the cost of a delivery method chosen by the Consumer that is more expensive than the cheapest one offered), promptly and no later than 14 days from receipt of the statement – using the same payment method, unless the Consumer agrees to another one that involves no costs. The Seller may withhold the refund until it receives the Goods back or proof that they have been sent back.
  4. The Consumer returns the Goods to the address indicated by the Seller within 14 days of withdrawal and bears the direct cost of returning them. The Consumer is liable for any diminished value of the Goods resulting from handling beyond what is necessary to establish their nature, characteristics and functioning.
  5. The right of withdrawal does not apply to Goods made to the Consumer’s specifications or clearly personalised – in particular Goods with individual branding (logo, print, embroidery, engraving) made according to the Customer’s design or approval (Article 38(1)(3) of the Polish Consumer Rights Act), or in other cases listed in Article 38 of that Act.
  6. Business Customers have no right to withdraw from the contract without giving a reason.

§ 9. Complaints – conformity of Goods with the contract

  1. The Seller is liable to Consumers and Sole traders with consumer rights for any lack of conformity of the Goods with the contract existing at the time of delivery and revealed within 2 years of that time, under Chapter 5a of the Polish Consumer Rights Act of 30 May 2014. The Consumer may request repair or replacement of the Goods and, in cases specified in the Act, a price reduction or withdrawal from the contract.
  2. The Seller is not liable for damage occurring after delivery of the Goods for reasons attributable to the Customer, in particular as a result of dropping, breaking, improper use or storage – such damage does not constitute a lack of conformity with the contract.
  3. Towards Business Customers, the Seller’s liability under statutory warranty for defects (rękojmia) is excluded (Article 558 § 1 of the Polish Civil Code), except for defects fraudulently concealed. Notwithstanding this, the Seller handles complaints from Business Customers as follows: (a) the Business Customer should promptly inspect the Goods and report visible defects (e.g. damage, quantity shortages, branding errors) within 2 calendar days of receipt, and hidden defects that could not be detected during a normal inspection – within 14 days of receipt; reports made after these deadlines will not be considered; (b) if the complaint is accepted, the Seller, at its discretion, replaces or repairs the defective Goods, re-does the branding or refunds the price paid for the defective Goods; (c) the Seller’s liability is limited to the gross price paid for the defective Goods and does not cover lost profits; (d) complaints do not cover defects for which the Goods were discounted, or damage occurring after the Goods were handed over, in particular as a result of dropping, breaking or improper use.
  4. The characteristics of the Goods and branding are defined by the agreed specification and the approved production visualisation. Due to the nature of production, the following deviations are acceptable: up to ±5% in dimensions, colour, grammage, cut and quantity, and up to ±10% in the position and size of the branding – unless the parties have agreed otherwise and, for Consumers, provided that information about these tolerances was clearly communicated and accepted when concluding the contract.
  5. Complaints can be submitted by e-mail to info@euro-brand.pl or in writing to the registered office address. Please include: Customer details, Order number, a description of the non-conformity, the date it was discovered, your request and – if possible – photos.
  6. The Seller responds to a complaint within 14 days of receiving it. For Consumers, failure to respond within this period means the complaint is accepted.
  7. If the Goods need to be delivered for the complaint to be handled, the Seller will indicate the method and address; for Consumers, the costs of delivery are borne by the Seller.
  8. Any refunds due are made promptly, no later than 14 days from acceptance of the complaint or from the statement on price reduction or withdrawal from the contract.

§ 10. Out-of-court dispute resolution

  1. A Consumer may use out-of-court complaint and redress procedures, e.g. seek assistance from a municipal or district consumer ombudsman or consumer organisations, or apply to the Provincial Inspectorate of Trade Inspection for mediation. Information is available on the website of the Office of Competition and Consumer Protection (UOKiK): prawakonsumenta.uokik.gov.pl.
  2. Using out-of-court dispute resolution is voluntary.

§ 11. Personal data and cookies

The processing of personal data is described in the Privacy Policy, and the use of cookies in the Cookies Policy.

§ 12. Final provisions

  1. These Terms are available free of charge on the Store website in a form that allows them to be downloaded and saved.
  2. The Seller may amend these Terms for important reasons (changes in law, changes in payment or delivery methods, changes in the scope of services). Amendments take effect at least 7 days after publication; Customers with an Account will be notified by e-mail. Orders placed before an amendment are governed by the Terms in their previous wording.
  3. Matters not regulated herein are governed by Polish law, in particular the Civil Code, the Consumer Rights Act and the Act on Providing Services by Electronic Means. The choice of Polish law does not deprive a Consumer of the protection afforded by mandatory provisions of the law of the country of their habitual residence.
  4. Disputes with Business Customers are settled by the court competent for the Seller’s registered office. Disputes with Consumers are settled by the court competent under general rules.
  5. These Terms do not limit the rights of Consumers and Sole traders with consumer rights arising from mandatory provisions of law; in the event of a conflict, those provisions apply.
